These Terms of Service ("Terms") form a binding agreement between Prairie Vision Inc ("we," "us," "our"), a corporation organized in the United States, and the individual or entity using the AppointmentAI service ("you," "Customer"). By creating an account, installing the widget, or using the API, you accept these Terms.
AppointmentAI ("Service") is an AI-powered website chat and appointment booking tool delivered as software-as-a-service. It includes the embeddable chat widget, the tenant dashboard, the public API, calendar integrations, email notifications, and related features described at appointment.prairievision.ai. We may update features, improve models, and deprecate capabilities at our discretion. We will provide at least 30 days advance notice of any material reduction in functionality to paying customers.
We offer tiered subscription plans (Starter $149/mo, Professional $299/mo, Growth $499/mo, Custom for enterprise) that include a defined monthly conversation quota. Current pricing is published on our pricing page and may be updated with 30 days notice.
Conversations beyond your monthly quota are billed at $0.15 per conversation and invoiced at the end of the billing cycle. A "conversation" is defined as a unique visitor session containing at least one message exchange with the AI agent.
All fees are charged monthly in advance via Stripe. Fees are non-refundable except as required by law or explicitly stated in a written agreement. Failed payments after three retry attempts over 14 days may result in service suspension.
For a limited period during early access, we offer founding customers rate locks for the lifetime of their active subscription. These rate locks remain in effect as long as the subscription remains continuously active on the original plan; plan changes or cancellation-and-resubscribe may forfeit the lock.

We reserve the right to suspend or terminate accounts that violate these rules. We will attempt to provide notice and a remediation window for inadvertent violations.
You retain all rights in any data you upload or that is generated by end-user conversations on your deployment ("Customer Data"). You grant us a limited license to process Customer Data solely for the purpose of operating the Service. We do not use Customer Data to train general-purpose AI models. Full details are in our Privacy Policy.
The Service uses artificial intelligence to generate responses. AI output may occasionally be inaccurate, incomplete, or unexpected. You are responsible for reviewing agent configuration, setting appropriate knowledge-base content, and maintaining human oversight over bookings, quotes, and customer commitments. We provide tools (quality gates, banned phrase filtering, transcript scoring) to help you monitor output but cannot guarantee specific conversational outcomes.
We target 99.5% monthly uptime for paying customers. Scheduled maintenance will be communicated in advance where practical. We do not commit to a formal service-level agreement (SLA) with credits at this pricing tier; enterprise SLAs are available under separate contract. Support is provided via email to support@prairievision.ai with best-effort response times during US business hours.
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period; no refunds for the remaining portion. We may terminate or suspend the Service for material breach of these Terms, non-payment after reasonable notice, or legal requirement. Upon termination, you may export your data for up to 30 days; after that, data is deleted per our retention schedule.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will meet your specific expectations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAIRIE VISION INC'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
You agree to indemnify and hold harmless Prairie Vision Inc against any claims arising from your use of the Service in violation of these Terms, your violation of applicable law, or your violation of any third-party right.
Each party agrees to treat the other party's non-public information as confidential and to use it only for purposes of this agreement. Standard exceptions apply for information that is publicly known, independently developed, or required to be disclosed by law.
We may update these Terms as the Service evolves. Material changes will be communicated to active customers via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of North Dakota, United States, without regard to conflict-of-law principles. Any dispute not resolvable by good-faith negotiation shall be brought in the state or federal courts located in Morton County, North Dakota, and both parties consent to personal jurisdiction there.
